Corporate Legal Counsel – Toronto – Schindler Elevator Corporation

The Corporate Counsel functions as a key member of Schindler Elevator Corporation’s (Canada) business management team, and must possess excellent legal and business judgment. The position is responsible for providing legal advice and guidance related to a wide range of commercial and business matters. This position would report directly to the President, Schindler Elevator Corporation (Canada) with a dotted line to the Vice President and General Counsel-Americas.

Key Responsibilities:
Advise and Interpret
Advise on regulatory, compliance and employment related matters
Provide outstanding legal support to business partners (internal clients) across the Schindler(Canada) organization
Draft, review, and negotiate construction, service, supply and other commercial agreements and documents assuring that both legal and business objectives are met
Continuously work to improve contracting structure and processes, as well as implementation and adherence to best practices
Manage litigation in areas that include personal injury, commercial disputes and employment
Provide guidance to the organization on all legal matters affecting the business
Assure compliance with statutory and regulatory requirements
Contract negotiation

Review all contracts or any other documentation where the Company has committed itself and assess legal implications that need to be brought to the executive management’s attention
Prepare, review and modify contractual instruments to assist and support various business activities
Negotiate, review and draft documentation for business transactions and prepare and advise on the necessary checklist to be adopted to ensure information is submitted on time.

Risk and Crisis Management
Work with senior management to assess, develop and implement risk strategies
Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken.
Establish system that identifies areas of criticality or high risk from a legal perspective and designs contingency plans around each identified element.
Inform all necessary parties as to courses of action dependent on a crisis occurring

Education and Experience:
Minimum degree of BA in Law with excellent academic credentials
Minimum 10 years of relevant experience at a top law firm or as in-house counsel
Experience preferred to be in construction or relevant industries with extensive transactional and commercial agreements
Member in good standing of the Law Society of Upper Canada, and qualified to practice law in Ontario
Superior judgment and ability to provide practical, solution oriented legal advice
Excellent written and oral communication and interpersonal skills
Broad practice area experience with a core competency in drafting, analyzing and negotiating contracts
Confidence and proven ability to work with senior management and company personnel at all levels
Self-motivated and highly proficient in the ability to multi-task, prioritize a high volume of diverse matters and tasks, and handle unplanned work
Ability to work collegially with diverse personnel
Advanced negotiation skills, able to work effectively to objectives with the personal sensitivity to manage negotiations with a range of stakeholders
Utilize and manage external legal expertise on complex matters
Handle crisis management
