If you answered “yes” to the above, the City of Toronto needs people like you to serve on high-profile, challenging, and exciting boards of directors for City agencies and corporations. Currently, the City of Toronto is seeking 8 qualified residents to serve as directors on the Toronto Hydro Board.
ELIGIBILITY:
To be eligible for appointment, you must be:
a City of Toronto resident
18 years of age or older
not employed by the City of Toronto or one of its agencies or corporations
not a spouse, partner, child, or parent of a Member of Toronto City Council
QUALIFICATIONS:
Board members should collectively represent a range of expertise and skills including:
commercial sensitivity and acumen
corporate finance
corporate governance
environmental matters, labour relations, and occupational health and safety issues
experience on a public utility commission or board of a major corporation or other commercial enterprise
independence of judgement and personal integrity
large system operation and management
market development
public policy issues and laws relating to Toronto Hydro and the electricity market
urban energy industries
BOARD RESPONSIBILITIES:
The board is responsible for supervising the management of the Toronto Hydro Corporation’s business and affairs, including the following:
approving the overall business strategy
approving any dividend payment or distribution of capital
approving the financing strategy
ensuring the Corporation follows the Shareholder direction
appointing the Corporation’s officers and the subsidiaries’ Boards of Directors
TERM OF OFFICE:
The term of office for public members is two years, and public members serve until their successors are appointed.
TIME COMMITMENT:
The board meets approximately four times a year or at the call of the Chair.
REMUNERATION:
Board members receive an $12,500 annual retainer, plus $1,000 per meeting up to a maximum of $30,000 per year. The Chair receives a $75,000 annual retainer.
